Consulting to US from Canada (remote work online)

I have been approached to provide systems consulting services to a government-like group in the States for about 6 months. I'm incorporated in BC (sole employee with occasional subcontractors) and would have minimal, if any travel to US. All the work will be done from my office in BC via email/phone, with the possible exception of a couple of day-long face-to-face meetings.

1. Is that considered "working in the US", even if I am physically in Canada, based on who's paying for the work?

2. Would there be US tax implications, and if so, what are they?

Any advice would be very helpful.

2. No. Be sure to provide any info the client asks for to avoid having to withhld any US taxes. But, if any are withheld, you can get these back at year-end by filing a 1040NR.

I guess I should have broken the question into 2 parts - personal and corporate. My company would hold the contract and would pay me as an employee and others as sub-contractors. As an employee of my company, I can see how my personal income could still fall under Canadian tax rules.

The area that's still gray for me is whether my company will have to somehow register and report under US rules.

Re: your response, I'm assuming because invoicing will be corporate and not personal, withholding of taxes won't apply. Sound right?

There may be corpoarte reporting ,but this would merely be a protective report, not taxable.

There is no US withholding in either case. Your Cdn employees would have CDn withholding applied on their compensation. I'm not sure from your post that anyone will be working in US, so I don't see how any personal tax in US would arise.

Thanks. I just got info today from the IRS about how to get an Employer Identification Number (EIN) and then how to register my company for non-withholding by filling out a form (W8BEN?) to give to the US company I'd be contracting with so that they can justify NOT withholding tax. Apparently HST/GST doesn't apply either, unless the U.S. org getting my company's service has a Canadian office.
